Domainry's Terms of Service

These Terms of Service ("Terms") govern your access to and use of Domainry.com and all related services, software, features, functionality, and other products or services, whether currently available or introduced in the future (collectively, the "Platform" or "Service"). The Platform is owned and operated by Brand Hunt LLC ("Domainry.com", "Domainry", "we", "us", or "our").

These Terms constitute a legally binding agreement between you and Domainry and become effective when you first access or use the Platform or any of its services.

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, as amended from time to time.

If you do not agree to these Terms, you are not authorized to access or use the Platform or any of its services.

1. The Domainry Platform

Domainry is a private, curated wholesale marketplace built specifically for domain investors. The Platform enables approved users to list, discover, negotiate, buy, and sell domain names with other approved users.

Domainry provides marketplace infrastructure, negotiation tools, discovery features, listing management, and related services designed to facilitate domain transactions between users.

Domainry currently provides access to the Platform at no cost. We reserve the right to introduce fees, subscription plans, or other charges for certain features or services at any time. Any applicable fees or charges will be clearly disclosed on the Platform before they apply.

Except as expressly provided in these Terms, Domainry reserves all rights not expressly granted to users.

2. Eligibility and Account Approval

To use Domainry, you must:

  • Be at least 18 years old;
  • Have legal capacity to enter binding agreements;
  • Comply with applicable laws and regulations;
  • Complete any application, verification, or approval process required by Domainry.

Domainry is a curated marketplace intended primarily for serious domain investors and domain industry participants. Access to the Platform is not automatic and is subject to review and approval at Domainry's sole discretion.

Applicants may be required to provide information demonstrating relevant industry participation, credibility, or experience.

Domainry reserves the right to approve, reject, suspend, restrict, or terminate any application, account, or listing at any time, with or without explanation, where permitted by applicable law.

If you register or use Domainry on behalf of a company, partnership, fund, or other legal entity, you represent and warrant that you have the authority to act on behalf of and bind such entity to these Terms.

3. Account Security

You are responsible for maintaining the confidentiality and security of your account credentials and for restricting access to your account.

You are responsible for all activity conducted through your account, including actions taken by any person who accesses your account using your credentials.

You may not share, transfer, or allow unauthorized third-party access to your account without Domainry's prior approval.

You are responsible for ensuring that the information associated with your account remains accurate, complete, and up to date.

You must notify Domainry immediately if you become aware of any unauthorized access, security breach, or suspected compromise of your account.

Domainry may require users to verify their identity, account ownership, or other information, in a manner determined by Domainry in its sole discretion, before restoring access to an account, resetting credentials, or making account-related changes. Failure to satisfy such verification requirements may result in Domainry declining or delaying the requested action.

4. Verification and Additional Information

Domainry may request additional information, documentation, or verification at any time where reasonably necessary, including, without limitation, to maintain marketplace integrity, verify account ownership, confirm listing legitimacy, enforce these Terms, comply with applicable legal obligations, investigate suspicious or prohibited activity, or for any other legitimate business, operational, legal, security, or compliance purpose.

Failure to provide requested information may result in enforcement action by Domainry, including, without limitation, restricted access to the Platform, listing removal, delayed or cancelled transactions, suspension, account termination, or any other action permitted under these Terms.

5. Spaceship SafePay and Third-Party Transaction Services

Unless Domainry expressly designates another transaction provider, all transactions conducted through Domainry are settled using Spaceship SafePay as the transaction provider.

To buy or sell domains through Domainry, users must maintain an active and eligible Spaceship account and satisfy any verification, onboarding, compliance, payment, payout, or other requirements imposed by Spaceship. Users are solely responsible for complying with Spaceship's applicable terms, policies, and requirements.

Payment processing, escrow, settlement, fund handling, payouts, transaction execution, compliance reviews, and related transaction services are provided and controlled by Spaceship and are subject to Spaceship's own terms, policies, procedures, and eligibility requirements.

Domainry does not control and is not responsible for Spaceship's decisions, actions, restrictions, delays, suspensions, holds, approvals, denials, or any other decisions, actions, or outcomes relating to Spaceship's services, user accounts, or transactions.

Domainry's role is limited to providing the Platform, facilitating negotiations between users, and initiating transactions through Spaceship SafePay as described in these Terms. Domainry is not a party to transactions between buyers and sellers.

Where reasonably necessary to facilitate a transaction through the applicable transaction provider, users authorize Domainry to submit user, listing, and transaction-related information, initiate transaction setup, import domain names into the applicable transaction provider's systems, and perform other technical actions reasonably necessary to initiate or facilitate the transaction on the applicable user's behalf, in accordance with these Terms and the applicable transaction provider's requirements.

If Spaceship is unable or unwilling to provide transaction services for any reason, Domainry shall have no obligation to complete, facilitate, or substitute the transaction through another provider unless Domainry expressly agrees to do so.

6. Marketplace Role / No Agency

Domainry provides a marketplace and negotiation environment connecting buyers and sellers of domain names.

Unless explicitly stated otherwise, Domainry is not:

  • The buyer;
  • The seller;
  • An agent or legal representative of either party;
  • An escrow provider; or
  • A legal counterparty to the sale.

Domainry may facilitate transactions through Spaceship SafePay for marketplace operational purposes.

Nothing in these Terms creates any partnership, joint venture, fiduciary relationship, employment relationship, agency, or other legal relationship between Domainry and any user except as expressly stated.

Domainry does not take title to, acquire ownership of, or otherwise obtain any legal or beneficial interest in listed domain names.

Transactions occur solely between users, who remain solely responsible for their listings, offers, negotiations, representations, warranties, agreements, and obligations.

7. Commission and Fees

Domainry operates on a success-based commission model. Unless explicitly stated otherwise, Domainry charges a commission on completed transactions based on the final sale price of the domain.

The default commission rate is currently fifteen percent (15%) of the final sale price, payable by the seller. The minimum commission payable on any completed transaction is USD $15.

No commission is due unless a transaction is successfully completed.

The commission described above is inclusive of Domainry's service fee and applicable transaction settlement fees charged through Spaceship SafePay, and the seller's estimated net proceeds will be disclosed on the Platform before listing and after listing.

Separate fees related to the buyer's selected payment method or the seller's selected payout method (such as credit card processing, wire transfers, cryptocurrency transactions, or similar third-party fees) may apply independently and are not controlled by Domainry.

Unless otherwise expressly agreed between the parties, any registrar transfer fees, renewal fees, bank charges, currency conversion fees, taxes, duties, governmental charges, or other third-party costs associated with completing a transaction shall be borne by the party that incurs them.

Users are solely responsible for determining, reporting, collecting, remitting, and complying with any taxes or other governmental obligations applicable to their transactions.

All fees displayed on the Platform are denominated in United States Dollars (USD), unless expressly stated otherwise.

Domainry reserves the right to modify commission structures, fee allocations, pricing models, or other charges at any time, with notice provided through the Platform where appropriate.

8. Listing Domains

Users may list only domain names that they legally own or are fully authorized to sell.

By creating a listing, users represent and warrant that they have the legal right and authority to list and transfer the domain and that all listing information, including pricing and any other listing details, is accurate, complete, and not misleading.

Domainry supports various pricing formats, including Buy-It-Now (BIN) pricing and Make Offer.

Domain names listed on the Platform must have a minimum asking price of USD $100.

Listings remain active for thirty (30) days unless sold, renewed, withdrawn by the seller, removed by Domainry, expired, or otherwise terminated in accordance with these Terms.

Sellers are responsible for promptly updating or removing listings that become inaccurate, unavailable, transferred, or otherwise no longer eligible for sale.

Following approval, Domainry may restrict the removal or withdrawal of a listing for a limited period of time where reasonably necessary to maintain marketplace integrity, discourage abusive listing practices, or protect users who may rely on recently approved listings. The duration and application of any such restriction shall be determined by Domainry in its sole discretion and may be described on the Platform.

As a curated marketplace, Domainry reserves the right to review, approve, reject, remove, archive, or restrict any listing at its sole discretion, including due to inactivity, ownership changes, policy violations, or marketplace curation standards.

9. Listing Verification

Domainry reserves the right, in its sole discretion, to require ownership or control verification for any listing at any time, including before a listing becomes available on the Platform or before a transaction is initiated, where Domainry reasonably determines such verification to be appropriate.

Unless Domainry expressly requires otherwise, ownership verification in connection with a binding transaction is performed by the applicable transaction provider as part of its transaction process before the transaction may proceed.

Nothing in this Section requires a seller to market or offer a listed domain exclusively through Domainry prior to entering into a binding transaction.

If a seller enters into a binding transaction but is unable or unwilling to successfully verify ownership of the domain, complete the transfer, or otherwise fulfill their obligations without a reason that Domainry reasonably determines to be legitimate under the circumstances, Domainry may take enforcement action under these Terms, including suspension, permanent termination, loss of marketplace privileges, or any other action reasonably necessary to protect the integrity of the Platform and its users.

10. Seller Representations and Warranties

By listing a domain on Domainry, you represent and warrant that:

  • You presently own the domain or are fully authorized to sell it;
  • You have full legal authority to transfer the domain;
  • The domain is free of undisclosed liens, encumbrances, claims, or restrictions;
  • The domain is not subject to any legal dispute, litigation, arbitration, UDRP proceeding, or similar claim;
  • The domain is transferable and not subject to restrictions that would prevent or materially delay transfer;
  • You are not knowingly infringing the intellectual property or other rights of any third party;
  • You will complete the domain transfer promptly after successful payment; and
  • You are solely responsible for the accuracy and completeness of your listing information.

11. Buyer Responsibilities

Buyers are solely responsible for conducting their own independent due diligence and evaluating any domain before making an offer or completing a purchase.

This includes, without limitation, assessing the domain's quality, registration history, renewal costs, transfer eligibility, registry policies, intellectual property or trademark risks, commercial viability, market liquidity, existing or potential legal disputes, overall suitability for the buyer's intended use or investment objectives and any other factor the buyer considers relevant.

Buyers assume all risks associated with evaluating, purchasing, and using domain names acquired through the Platform.

Domainry may display automated appraisals, comparable sales, registration statistics, or other marketplace data for informational purposes only. Buyers acknowledge that such information may be incomplete, inaccurate, delayed, or provided by third parties and must not be relied upon as a substitute for independent investigation.

Domainry does not provide legal, financial, tax, valuation, investment, or other professional advice, and nothing on the Platform should be interpreted as such.

12. Offers and Negotiations

Domainry supports negotiations between users through tools and features provided on the Platform, including Buy-It-Now purchases, buyer offers, seller counteroffers, buyer counteroffers, offer declines, offer expirations, offer extensions, built-in messaging and related communications.

Unless explicitly stated otherwise, offers and counteroffers remain open only for the period specified on the Platform and may expire automatically if not accepted within that period.

Acceptance of a Buy-It-Now purchase, offer, or counteroffer creates a binding transaction commitment between the parties, subject to successful completion through the applicable transaction provider.

A declined offer or counteroffer does not automatically terminate negotiations unless either party explicitly ends the negotiations.

A party may end negotiations at any time provided they do not have an outstanding offer or counteroffer pending acceptance by the other party. Once an offer or counteroffer has been submitted, it remains subject to acceptance, decline, expiration, or replacement by a subsequent counteroffer in accordance with these Terms and the Platform's functionality.

Negotiations may also be restricted or closed by Domainry following listing removal, account suspension, termination or account deletion, policy violations, or where Domainry reasonably determines such action is necessary to investigate suspected abuse, protect the integrity, security, or operation of the Platform or its users, or comply with applicable legal obligations.

13. Binding Transactions

The following actions constitute acceptance of a binding transaction under these Terms:

  • Clicking Buy-It-Now and confirming the purchase;
  • A seller accepting a buyer's offer or counteroffer;
  • A buyer accepting a seller's counteroffer; or
  • Any other action designated by Domainry as constituting acceptance.

By submitting a Buy-It-Now purchase, offer, or counteroffer, users acknowledge and agree to the applicable transaction terms presented on the Platform.

Once a transaction becomes binding, each party agrees to cooperate in good faith and take all reasonably necessary steps to complete the transaction, including promptly providing any information, approvals, confirmations, documentation, or other assistance reasonably required by Domainry or the applicable transaction provider for that purpose.

Upon entering into a binding transaction, the buyer represents and warrants that they have the financial ability and present intention to complete the transaction and to submit payment within seven (7) business days, or within any shorter period required by the applicable transaction provider.

Each party acknowledges and agrees that acceptance of a binding transaction creates a legally enforceable agreement between the buyer and seller, subject to these Terms and the applicable transaction provider's requirements and procedures.

Neither party may revoke or withdraw its acceptance of a binding transaction except as expressly permitted by these Terms.

Failure to honor a binding transaction or otherwise complete the transaction without a reason that Domainry reasonably determines to be legitimate under the circumstances may result in enforcement action by Domainry, including suspension or permanent termination of the account, removal of marketplace privileges, or any other action reasonably necessary to protect the integrity of the Platform.

14. Anti-Circumvention

Users may not use Domainry to facilitate or initiate transactions outside the Platform or otherwise circumvent Domainry's transaction process, commissions, fees, or marketplace controls.

The Platform's messaging and negotiation tools are intended primarily to facilitate negotiations relating to the domain name that is the subject of the negotiation.

Users may not, directly or indirectly, exchange or request contact information, suggest alternative communication channels, direct another user to communicate outside Domainry, or otherwise attempt to move communications off the Platform.

Prohibited conduct includes, without limitation:

  • Contacting or attempting to contact counterparties outside the Platform;
  • Requesting or sharing email addresses, phone numbers, messaging handles, social media accounts, websites, or any other contact information;
  • Suggesting or directing another user to communicate through another platform or service;
  • Completing or attempting to complete transactions that originated through the Platform by any means other than Domainry's designated transaction provider;
  • Attempting to conceal or misrepresent the origin of a transaction;
  • Encouraging, assisting, or inducing another user to violate these Terms;
  • Any other attempt to circumvent Domainry's marketplace, transaction process, commission structure, or these Terms.

Domainry reserves the right to investigate suspected circumvention or abuse using any information reasonably available to it, including Platform communications, transaction records, listing history, publicly available WHOIS records, and any other relevant evidence.

Violations of this section may result in, at Domainry's sole discretion:

  • Immediate suspension or permanent termination of the account;
  • Removal of listings or loss of marketplace access;
  • Suspension and denial of future access to Domainry until any outstanding obligations to Domainry have been satisfied; and
  • Any other action reasonably necessary to protect the integrity, security, reputation, goodwill, and proper operation of the Platform and its marketplace.

15. Confidentiality and Marketplace Data

The Platform provides users with access to various categories of marketplace information and functionality, as applicable to their account and permissions, including, without limitation, listings, negotiations, offers, counteroffers, messages, pricing information, watchlists, filters, domain alerts, marketplace activity, transaction history, automated appraisals, comparable sales, TLD registration statistics, analytics, notifications, and proprietary or marketplace-related information made available through the Platform.

Except as permitted by these Terms or with Domainry's prior written consent, users may not:

  • Copy, reproduce, aggregate, redistribute, publish, sell, license, or otherwise commercially exploit Platform content or marketplace data;
  • Scrape, harvest, archive, extract, compile, or systematically collect Platform content or marketplace data through automated or manual means;
  • Use Platform content or marketplace data to train, develop, fine-tune, evaluate, validate, test, or improve artificial intelligence, machine learning, automated decision-making systems, or similar technologies;
  • Use bots, crawlers/spiders, browser automation, scripts, scraping tools, automated means, or similar technologies to access, monitor, collect, extract, or otherwise obtain Platform content or marketplace data; or
  • Use the Platform or information obtained through it in a manner intended to circumvent, interfere with, disrupt, or compromise the integrity, security, or intended operation of Domainry.

Users retain ownership of the content they submit to the Platform. By submitting listings, messages, feature requests, or other content through the Platform, users grant Domainry a worldwide, non-exclusive, royalty-free license to host, reproduce, display, distribute, and otherwise use such content, and to make formatting or technical modifications to it, solely as reasonably necessary to operate, maintain, secure, improve, and market the Platform, comply with legal obligations, and enforce these Terms. This license continues only for so long as reasonably necessary for those purposes, except where retention is required by applicable law or as otherwise permitted under these Terms. Nothing in this Section transfers ownership of a user's underlying intellectual property to Domainry.

Domainry reserves all rights, title, and interest in and to the Platform, marketplace data, and all related proprietary information. Except as expressly permitted by these Terms, no rights or licenses are granted to users by implication, estoppel, or otherwise.

Domainry reserves the right to restrict or terminate access to the Platform and take any other action reasonably necessary to protect the integrity, security, and proprietary information of the marketplace.

16. Feedback

If you submit or communicate to Domainry any suggestions, ideas, comments, feedback, enhancement requests, feature requests, recommendations, bug reports, or other information relating to the Platform or its services ("Feedback"), you acknowledge and agree that:

  • Feedback is provided voluntarily and without expectation of compensation;
  • Domainry is under no obligation to use, implement, or respond to any Feedback;
  • Domainry may freely use, reproduce, modify, adapt, implement, publish, distribute, commercialize, incorporate, or otherwise exploit such Feedback for any purpose, without restriction, attribution, or compensation to you.

Nothing in this Section transfers ownership of your separate intellectual property, except to the extent incorporated into the Feedback itself.

17. Curation and Listing Approval

Domainry is a curated marketplace. Access to the marketplace and approval of listings are subject to Domainry's sole discretion and internal marketplace standards.

Domainry reserves the right, at any time, to:

  • Approve, reject, or require pricing adjustments for any listing submission;
  • Remove, archive, edit, or restrict any listing;
  • Request additional information or verification regarding any listing or user;
  • Modify or update its marketplace or curation standards;
  • Restrict particular categories, keywords, registrars, TLDs, or other listing characteristics that Domainry reasonably determines are inconsistent with its marketplace standards, terms or policies;
  • Limit the number of listings submitted by any user; or
  • Suspend or restrict accounts that repeatedly submit listings that do not satisfy Domainry's marketplace standards or otherwise violate these Terms.

Acceptance or approval of a listing does not constitute:

  • An endorsement of the domain;
  • A recommendation to buy, sell, or invest;
  • A confirmation that the listed price reflects the domain's market value or wholesale market value;
  • A legal, trademark, or regulatory clearance;
  • A verification or guarantee of ownership, identity, authority to sell, or transferability beyond any verification or approval Domainry may elect to perform in its sole discretion; or
  • A guarantee that the listing will remain available, receive offers, or ultimately result in a completed sale, or any guarantee of quality, marketability, transferability, future sale, or any particular commercial outcome.

Any suggested listing price, or similar pricing guidance provided by Domainry reflects Domainry's internal marketplace review for listing eligibility only. Such suggestions do not constitute a valuation, appraisal, investment recommendation, financial advice, or professional advice of any kind.

All listing review and curation decisions, including pricing requirements, reflect Domainry's internal marketplace standards and are made at Domainry's sole discretion. Such standards may change from time to time. Domainry is under no obligation to explain, justify, reconsider, or reverse any curation decision.

18. Customer Support

Domainry may, in its sole discretion, provide customer support relating to the Platform and its services. Domainry does not guarantee the availability of customer support, any particular response time, or the resolution of any support request, and reserves the right to refuse, limit, suspend, or discontinue support where reasonably appropriate.

If you have any questions, complaints, feedback, or require assistance relating to the Platform, you may contact Domainry by email at support@domainry.com, or any other support channel made available through the Platform.

Domainry may require users to verify their identity, account ownership, or other information, in a manner determined by Domainry, before providing support, restoring account access, or making account-related changes.

By requesting customer support, you authorize Domainry, where reasonably necessary, to access your account and take actions reasonably required to investigate, troubleshoot, or resolve the reported issue.

You agree to cooperate with reasonable requests for information necessary to investigate or resolve support requests. Failure to provide requested information may prevent Domainry from providing assistance.

Users may not abuse Domainry's customer support systems, including by submitting repetitive, frivolous, abusive, harassing, or bad-faith support requests, or otherwise interfering with Domainry's ability to provide support to other users. Domainry may restrict, suspend, or terminate access to customer support, or take any other action permitted under these Terms, where it reasonably determines such abuse has occurred.

Nothing in this Section obligates Domainry to provide any particular level of support or creates any warranty, guarantee, or service-level commitment.

19. Appraisals and Market Data Disclaimer

Domainry may display market-related information, including, without limitation:

  • Comparable sales;
  • Automated appraisals;
  • TLD registration statistics;
  • Historical data; and
  • Other analytical metrics.

Such information may be obtained from third-party providers or other external sources and is provided solely for informational purposes. Domainry does not independently verify, and makes no representation or warranty regarding the accuracy, completeness, reliability, timeliness, or suitability of any market-related information, appraisal, valuation, or analytical metric displayed through the Platform.

Comparable sales, historical data, estimated valuations, and other analytical metrics are provided as informational indicators only and should not be interpreted as definitive measures or guarantees of a domain name's current or future market value, marketability, or likelihood of sale.

The availability or display of any market-related information on the Platform does not constitute an endorsement of any domain name, listing price, seller, buyer, or transaction.

Users are solely responsible for conducting their own independent research, verification, and due diligence before buying, selling, investing in, or otherwise relying on any domain name or market-related information. Domainry does not provide investment, financial, legal, tax, or other professional advice, and no information made available through the Platform should be interpreted as such.

While Domainry strives to maintain accurate and up-to-date information on the Platform, clerical, typographical, technical, pricing, or other errors, inaccuracies, or omissions may occur. Domainry reserves the right to correct any such errors, inaccuracies, or omissions, and to update or modify information on the Platform, at any time, with or without prior notice.

20. Prohibited Uses

You may not use Domainry to:

  • Engage in, facilitate, or promote any unlawful, fraudulent, deceptive, or misleading activity;
  • Infringe or violate the intellectual property, privacy, publicity, contractual, or other rights of any person or entity;
  • Manipulate listings, pricing, offers, negotiations, transactions, or other marketplace activity;
  • Create, facilitate, or knowingly participate in fictitious, sham, collusive, or otherwise non-genuine listings, offers, negotiations, transactions, or other marketplace activity intended to mislead users or manipulate the operation, integrity, or fairness of the Platform;
  • Harass, threaten, abuse, impersonate, or otherwise harm another person or entity;
  • Submit false, misleading, inaccurate, incomplete, or deceptive information;
  • Upload, transmit, or distribute malicious code, malware, viruses, or other harmful technologies;
  • Interfere with, disrupt, compromise, or attempt to gain unauthorized access to the Platform, its systems, infrastructure, networks, or other users' accounts;
  • Probe, scan, test, or otherwise attempt to identify or exploit vulnerabilities in the Platform, its infrastructure, systems, or security measures;
  • Circumvent or attempt to circumvent the Platform's security measures, technical limitations, account restrictions, or other protections;
  • Access or attempt to access another user's account, credentials, or non-public information unless (i) the affected user has expressly consented, and (ii) Domainry has determined, in its sole discretion, that such access serves a legitimate purpose and has expressly authorized such access in advance.
  • Use information obtained through the Platform, including domain listings or other marketplace information, to identify, locate, contact, solicit, or otherwise target another user outside the Platform for the purpose of circumventing the Platform, its transaction process, commissions, or these Terms;
  • Engage in any conduct that is intended to manipulate, undermine, interfere with, or otherwise impair the integrity, trustworthiness, reputation, goodwill, or fair operation of the Platform or its marketplace, including by knowingly making false or misleading statements, creating false impressions, or otherwise engaging in deceptive conduct.
  • Create multiple accounts or otherwise attempt to evade Domainry's account approval process, suspensions, terminations, or other access restrictions;
  • Reverse engineer, decompile, disassemble, create derivative works from, or otherwise attempt to derive the source code, underlying algorithms, architecture, or functionality of the Platform, except to the extent such restriction is prohibited by applicable law;
  • Use bots, scripts, automated systems, or other technologies except as expressly authorized by Domainry;
  • Use the Platform in a manner that imposes an unreasonable or disproportionate burden on the Platform or its infrastructure;
  • Misrepresent your identity, affiliation, authority, or other material information, or conceal your identity for the purpose of violating these Terms, circumventing Platform controls, or engaging in fraudulent, deceptive, or prohibited activity;
  • Represent, imply, or otherwise create the false impression that any product, service, communication, website, listing, activity, or content is sponsored by, endorsed by, affiliated with, authorized by, or originates from Domainry when it does not;
  • Represent, imply, or otherwise present any product, service, communication, website, listing, activity, content, marketplace data, or other information provided by or obtained from the Platform as originating from you or any third party when it is provided by or originates from Domainry or the Platform;
  • Encourage, facilitate, assist, provide services for, or knowingly enable another person to violate these Terms or applicable law;
  • Use the Platform or any content or information obtained through it to violate the rights of any person or entity, including intellectual property, privacy, publicity, contractual, or other legal rights;
  • Use any feature or functionality of the Platform in a manner that interferes with its intended operation; or
  • Use the Platform in any manner that violates these Terms or applicable law.

Additional restrictions relating to Platform content and marketplace data are set forth in Section 15 (Confidentiality and Marketplace Data).

21. Suspension, Termination and Account Deletion

Domainry reserves the right to suspend, restrict, terminate, remove listings, or refuse access to the Platform, with or without notice where permitted by applicable law, if Domainry reasonably determines that a user has:

  • Violated these Terms, including the Prohibited Uses set forth in Section 20, or any applicable law;
  • Failed to satisfy or maintain Domainry's eligibility, verification, or account requirements;
  • Failed to cooperate with a reasonable request for information or verification under these Terms;
  • Failed to honor a binding transaction or otherwise fulfill obligations arising under these Terms;
  • Engaged in conduct that compromises or attempts to compromise the security, integrity, availability, or operation of the Platform;
  • Engaged in fraud, deception, abuse, circumvention, or other conduct that Domainry reasonably determines threatens the Platform, its users, or third parties;
  • Become subject to sanctions, legal restrictions, or other circumstances that make continued access to the Platform unlawful or inappropriate; or
  • Otherwise engaged in conduct that Domainry reasonably determines may harm Domainry, its users, the Platform, the marketplace, or their respective reputation, goodwill, integrity, or trustworthiness.

Domainry may remove or disable access to any listing at any time, with or without notice, in accordance with these Terms.

Domainry may also temporarily restrict particular Platform features, marketplace privileges, or transaction capabilities without suspending the entire account where Domainry reasonably determines such restriction is appropriate.

Suspension or termination of an account does not relieve a user of any obligations arising before the suspension or termination, including obligations relating to pending transactions that became binding before the suspension or termination.

Any provisions of these Terms which, by their nature, are intended to survive suspension or termination shall remain in full force and effect, including, without limitation, provisions relating to intellectual property, confidentiality, transaction obligations, disclaimers, limitation of liability, indemnification, governing law, dispute resolution, and any other provisions necessary to give effect to these Terms.

Account Deletion

Users may request deletion of their Domainry account through the Platform. Upon request, a seven (7) day waiting period applies before the account is permanently deleted. Users may cancel the deletion request at any time during this waiting period by signing in to their account.

Domainry may prevent or delay account deletion where reasonably necessary to protect the integrity of the Platform, including where the user has active offers they have submitted that remain pending, recently approved listings subject to a delisting restriction, ongoing transactions, outstanding obligations, or other activity that reasonably requires the account to remain active.

Upon completion of the deletion process, the user's account will be permanently closed. Domainry may retain certain information following account deletion where required or permitted by applicable law, to comply with legal obligations, resolve disputes, enforce these Terms, prevent fraud or abuse, or otherwise as described in the Privacy Policy.

Domainry may permanently reserve, disable, or otherwise prevent future registration using the email address associated with a deleted account.

22. Intellectual Property

Subject to your continued compliance with these Terms, Domainry grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform solely for its intended purpose and in accordance with these Terms.

The Platform, including, without limitation, its software, source code, object code, databases, interfaces, user interface, designs, functionality, technology, documentation, trademarks, branding, logos, proprietary systems, marketplace data, and all related intellectual property, proprietary rights, and proprietary information, together with all rights, title, and interest therein, is owned by Domainry, operated by Brand Hunt LLC, or its licensors, and is protected by applicable intellectual property and other laws.

Except as expressly permitted by these Terms, you may not:

  • Copy, reproduce, modify, adapt, translate, distribute, publicly display, publicly perform, create derivative works from, commercially exploit, license, sublicense, sell, lease, assign, or otherwise use any part of the Platform or Domainry's intellectual property without Domainry's prior written permission;
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code, underlying algorithms, architecture, or non-public functionality of the Platform, except to the extent such restriction is prohibited by applicable law; or
  • Remove, obscure, alter, or modify any copyright, trademark, proprietary, or other legal notices appearing on the Platform.

Except for the limited license expressly granted under these Terms, no right, title, or interest in or to the Platform, any marketplace data, proprietary information, or Domainry's intellectual property is transferred or granted to you, whether by implication, estoppel, or otherwise.

All rights not expressly granted to you are reserved by Domainry and its licensors.

23. Disclaimer of Warranties

The Platform and all services, software, features, functionality, content, marketplace information, marketplace data, technology, and other materials made available through the Platform are provided on an "as is," "as available," and "with all faults" basis, without warranties of any kind, whether express, implied, statutory, or otherwise.

Domainry reserves the right, at any time and in its sole discretion, to add, modify, update, suspend, restrict, discontinue, remove, replace, or otherwise change any part of the Platform or its services, including, without limitation, features, functionality, marketplace tools, integrations, listings, eligibility requirements, commission structures, user interface, content, or any other aspect of the Platform, temporarily or permanently, with or without notice, where permitted by applicable law.

To the fullest extent permitted by applicable law, Domainry disclaims all warranties, whether express, implied, statutory, or otherwise, including, without limitation:

  • Merchantability;
  • Fitness for a particular purpose;
  • Title;
  • Non-infringement;
  • Quiet enjoyment;
  • Accuracy;
  • Reliability; and
  • Any warranties arising from a course of dealing, course of performance, or usage of trade.

Without limiting the foregoing, Domainry does not warrant or guarantee that:

  • the Platform, its services, or any information made available through the Platform will be uninterrupted, continuously available, error-free, completely secure, accurate, complete, reliable, current, or available in their current form;
  • the Platform or any feature, functionality, listing, marketplace tool, or integration will remain available or be compatible with any particular device, browser, operating system, or software environment;
  • any defects, errors, vulnerabilities, bugs, or other issues will be identified, corrected, or resolved;
  • the Platform or any content made available through it will be free from viruses, malware, malicious code, or other harmful components;
  • any listing will receive views, inquiries, offers, negotiations, exposure, or result in a completed sale;
  • any buyer or seller will perform its obligations or complete any transaction;
  • any transaction provider, including Spaceship SafePay, will approve, process, settle, or complete any transaction;
  • any user, listing, domain name, ownership claim, authority to sell, transferability, or transaction is legitimate, accurate, complete, lawful, or reliable;
  • any appraisal, comparable sale, automated valuation, marketplace data, registration statistic, historical information, or other information made available through the Platform is accurate, complete, reliable, current, or suitable for any purpose; or
  • use of the Platform will produce any particular commercial, financial, investment, or business outcome.

No information, communication, statement, appraisal, comparable sale, marketplace data, estimate, recommendation, negotiation, listing, or other material made available through the Platform shall create any warranty, representation, guarantee, or obligation on the part of Domainry unless expressly stated by Domainry in writing.

24. Limitation of Liability

To the fullest extent permitted by applicable law, users assume all risks associated with using the Platform and entering into transactions with other users. Domainry shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or other damages, or for any disputes, losses, claims, liabilities, costs, expenses, errors, omissions, delays, failed transfers, payment issues, fraud, non-performance, loss of profits, loss of revenue, loss of business opportunity, loss of goodwill, business interruption, loss of anticipated profits, anticipated savings, expected business opportunities, expected investment returns, diminution in value of any domain name, or any other damages or claims arising out of or relating to your use of the Platform, transactions between users, or third-party services, including Spaceship SafePay and any other third-party service providers.

Domainry provides a marketplace and negotiation platform that enables users to discover opportunities, communicate, negotiate, and enter into binding transactions with one another. Domainry is not the buyer, seller, escrow provider, payment processor, financial institution, legal representative, or agent of either party, and is not a party to any agreement between buyers and sellers relating to the purchase or sale of a domain name.

Upon acceptance of a binding transaction in accordance with these Terms, Domainry may initiate the transaction through Spaceship SafePay in accordance with the Platform's transaction flow. Thereafter, the transaction is subject to any ownership verification, compliance reviews, approvals, and other requirements imposed by the applicable transaction provider before it may proceed. Until the transaction is initiated, Domainry merely facilitates communication and negotiation between users. Once initiated, the transaction is independently administered by Spaceship SafePay, as the applicable transaction provider, in accordance with its own terms, policies, procedures, and requirements. Domainry does not control or assume responsibility for payment processing, settlement, fund handling, domain transfers, compliance reviews, ownership verification, or any other services performed by the applicable transaction provider.

Domainry has no obligation to verify the accuracy of listings, ownership of domain names, the identity of users, the legality of any transaction, or the performance of any party, except to the extent Domainry elects to do so in its sole discretion. Any verification conducted by Domainry is performed solely for Domainry's own business purposes and shall not be relied upon by users as a representation or guarantee of ownership, identity, accuracy, legality, transferability, or performance.

Domainry shall not be liable for any decision by any user to buy, sell, retain, reject, price, or otherwise deal with a domain name, whether or not such decision was influenced by information made available through the Platform.

Users are solely responsible for their interactions, communications, negotiations, agreements, transactions, and any resulting rights or obligations with other users. The existence of a dispute between users, or any action taken by Domainry in connection with such dispute, including investigating, reviewing, communicating with the parties, facilitating resolution, enforcing these Terms, or exercising any discretion granted under these Terms, shall not by itself give rise to liability on the part of Domainry.

To the fullest extent permitted by applicable law, Domainry's total aggregate liability to you for all claims arising out of or relating to these Terms, the Platform, or your use of the Platform shall not exceed the total fees or commissions actually received by Domainry in connection with the completed transaction or completed transactions to which you were a party and from which the claim arises, or USD $1 if no such fees or commissions were received, or if the claim does not arise from a completed transaction to which you were a party.

The limitations and exclusions set forth in this Section apply regardless of the form of action, whether based in contract, tort (including negligence), strict liability, statute, warranty, or otherwise, and even if Domainry has been advised of the possibility of such damages.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.

Except where prohibited by applicable law, any claim or cause of action arising out of or relating to these Terms, the Platform, or any transaction must be commenced within one (1) year after the cause of action arose. Any claim not commenced within that period shall be permanently barred.

25. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Domainry, operated by Brand Hunt LLC, its owners, officers, directors, employees, contractors, affiliates, licensors, and service providers from and against any claims, demands, actions, proceedings, losses, damages, liabilities, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) brought by any third party, including other users, arising out of or relating to:

  • Your access to or use of the Platform;
  • Your listings, negotiations, communications, transactions, or other activities conducted through the Platform, including claims arising from disputes between you and another user including any claim relating to domain ownership, trademark infringement, contractual rights, transferability, or failure to complete a transaction;
  • Your breach of these Terms;
  • Your violation of any applicable law or the rights of any third party, including intellectual property rights;
  • Any representation, warranty, or statement made by you that is false, inaccurate, misleading, or incomplete; or
  • Any act, omission, misconduct, or negligence by you in connection with your use of the Platform.

Domainry reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate fully with Domainry in the defense of any such matter and shall not settle any such matter in a manner that imposes any liability or obligation on Domainry without Domainry's prior written consent.

26. Electronic Communications and Electronic Signatures

You agree that Domainry may provide notices, disclosures, agreements, updates, and other communications electronically through the Platform, by email, or through other electronic means.

You acknowledge and agree that your use of the Platform, including, without limitation, creating an account, submitting listings, making offers, accepting offers or counteroffers, clicking buttons, checking boxes, or taking any other electronic action designated by Domainry, constitutes your electronic signature, your acceptance of these Terms, and your agreement to be bound by these Terms, any applicable transaction records, and any other agreements or acknowledgements presented through the Platform, to the fullest extent permitted by applicable law.

Electronic records, communications, and signatures shall have the same legal effect and enforceability as paper records, written communications, and handwritten signatures, to the fullest extent permitted by applicable law.

27. Notices

Domainry may provide notices, disclosures, updates, legal communications, and other communications relating to the Platform or these Terms through the Platform, by email, or by any other contact information associated with your account.

Certain operational communications, notifications, reminders, security alerts, and transactional messages may also be provided through the Platform's notification system. Such notifications supplement, but do not replace, any notices required under these Terms unless expressly stated otherwise.

You are solely responsible for maintaining accurate, current, and complete contact information associated with your account and for regularly checking the Platform and your email for communications from Domainry.

You agree that any notice or communication provided by Domainry shall be deemed given and received upon the earliest of: (i) its posting on the Platform; (ii) its transmission by email to the email address associated with your account; or (iii) its transmission through any other contact method you have provided to Domainry, unless applicable law requires otherwise.

Failure to receive or review any notice resulting from inaccurate, outdated, or incomplete contact information, email filtering, technical issues outside Domainry's reasonable control, or your failure to monitor your account or communications shall not affect the validity or effectiveness of such notice.

28. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permitted by applicable law, and the remaining provisions of these Terms shall remain in full force and effect.

29. No Waiver

Domainry's failure or delay in exercising or enforcing any right, remedy, or provision of these Terms shall not constitute a waiver of that right, remedy, or provision, nor shall any single or partial exercise of any right or remedy prevent any further exercise of that or any other right or remedy.

30. Assignment

You may not assign, transfer, delegate, or otherwise dispose of any rights or obligations under these Terms without Domainry's prior written consent. Any attempted assignment, transfer, delegation, or other disposition in violation of this Section shall be null and void.

Domainry may assign, transfer, delegate, or otherwise dispose of its rights or obligations under these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, sale of assets, or by operation of law.

31. Force Majeure

Domainry shall not be liable for any delay, interruption, suspension, degradation, failure to perform, inability to perform, or unavailability of the Platform or any related services resulting from any event or circumstance beyond Domainry's reasonable control, including acts of God; natural disasters; fire; flood; earthquake; epidemic or pandemic; war; terrorism; civil unrest; riots; labor disputes or strikes; governmental actions, orders, sanctions, or restrictions; changes in applicable law; failures or disruptions of the internet, telecommunications networks, cloud infrastructure, or power supply; cyberattacks, distributed denial-of-service (DDoS) attacks, malware, ransomware, or other malicious acts; failures, outages, or delays of third-party service providers, registries, registrars, payment processors, escrow providers, DNS providers, hosting providers, or other infrastructure upon which Domainry reasonably relies; or any other event or circumstance beyond Domainry's reasonable control.

During the existence of any such event, Domainry's affected obligations shall be suspended for the duration of the event to the extent reasonably necessary. Domainry shall resume performance as soon as reasonably practicable after the event has ceased.

32. Changes to Terms

Domainry may modify, amend, or update these Terms at any time in its sole discretion. Updated Terms become effective upon posting on the Platform, unless otherwise stated. Your continued access to or use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue your use of the Platform.

33. Governing Law and Dispute Resolution

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Platform shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles.

Subject to applicable law, you agree that the state and federal courts located in the State of Wyoming shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Platform, and you consent to the personal jurisdiction and venue of such courts.

34. Entire Agreement

These Terms constitute the entire agreement between you and Domainry regarding your access to, use of, and participation in the Platform, and supersede all prior or contemporaneous agreements, understandings, negotiations, communications, representations, and proposals, whether oral or written, relating to the same subject matter.

35. Interpretation

In these Terms:

  • Headings are provided for convenience only and do not affect the interpretation of these Terms.
  • The words "including," "include," and similar expressions mean "including without limitation."
  • Words in the singular include the plural and vice versa where the context permits.
  • References to "you" and "your" include any individual or legal entity using the Platform, as applicable.
  • References to "applicable law" include all applicable statutes, regulations, rules, judicial decisions, and governmental requirements.
